Article IX. Amendments
ARTICLE I. - NAME
The name of this organization shall be the KANSAS CITY BIOMEDICAL SOCIETY (KCBS).
ARTICLE II. - GOALS
- To promote enhanced patient care through improved instrumentation.
- To establish a forum for discussion of practical problems, such as maintenance, calibration, service, safety inspection information, standards agencies and vendors of, but not limited to, clinical equipment.
- To establish information centers for technical and service literature and manuals
- To establish communication channels specifically to influence current discussion and plans for “certification”.
- To encourage sharing of common problems and to stimulate a scientific approach to solving them.
- To promote education and training programs for the membership.
ARTICLE III. - PARLIMENTARY AUTHORITY KCBS shall be governed by “Robert’s Rules of Order” revised in all cases to which they are applicable and in which they are not inconsistent with these by-laws.
ARTICLE IV. - MEMBERSHIP
SECTION 1. CLASSES
The membership of this association shall include three classes: Corporate, Active, and Student Members.
SECTION 2. CORPORATE MEMBERSHIP Businesses and individuals are eligible for membership if they are engaged in the sales, service or consultation of biomedical devices, delivery of health care services or regulation, accreditation, investigation or recommendation of related activities.
Corporate Members shall not be entitled to hold office or vote.
SECTION 3. ACTIVE MEMBERSHIP
An individual is eligible to be an active member if employed in the maintenance, utilization, design or evaluation of biomedical instrumentation either therapeutic or diagnostic in nature. Persons that have retired from biomedical instrumentation type of work are also eligible for membership with their dues being waved.
SECTION 4. STUDENT MEMBERSHIP
An individual is eligible to be a student member if actively attending college or is an active military person training in a biomedical equipment program. Student Members shall not be entitled to hold office or vote.
SECTION 5. APPLICATION FOR MEMBERSHIP
Application for membership shall be made to the president, which shall evaluate and approve by simple majority. Notice of decision shall be communicated to the applicant.
SECTION 6. PAYMENT OF DUES
Dues shall be payable in advance to the calendar year. Payment is required to guarantee the continuation of membership privileges including mailings, programs, voting rights (where applicable) and fee discounts as established by the Executive Board.
The fee structure is as follows:
- Corporate Membership - $100.00 per year
- Active Membership - $20.00 per year
- Student Membership - $10.00 per year
ARTICLE V. - OFFICERS
SECTION 1. - ELECTED OFFICERS
The government of the KCBS shall be vested in the elected offices of PRESIDENT, PRESIDENT-ELECT, VICE PRESIDENT, SECRETARY, TREASURER, EMPLOYMENT OFFICER, EDUCATION OFFICER, AND PUBLICATION OFFICER.
a) PRESIDENT - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible for all meetings and inservices while in office. Official spokesperson and primary coordinator of policy and committees. Required to write a minimum of one article annually for the newsletter.
b) PRESIDENT-ELECT - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible to organize meetings and other duties as assigned by the president. Required to write a minimum of one article annually for the newsletter.
c) VICE PRESIDENT - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible to help organize meetings and duties as assigned by the president. Required to write a minimum of one article annually for the newsletter.
d) SECRETARY - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible for recording meeting minutes and other duties as assigned by the president. Required to write a minimum of one article annually for the newsletter.
e) TREASURER - Serves three consecutive terms. Responsible for financial reports and other duties as assigned by the president. Copies of financial reports will be given to the president monthly and made available for all regular meetings. Required to write a minimum of one article annually for the newsletter.
f) EMPLOYMENT OFFICER - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible for maintaining a list of all known local and national job openings. Required to write a minimum of one article annually for the newsletter.
g) EDUCATION OFFICER - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible for helping KCBS members with achieving certification. Also responsible for checking out educational material to members and other duties as assigned by the president. Required to write a minimum of one article annually for the newsletter.
h) PUBLICATION OFFICER - Serves a one year term. Can be re-elected up to three consecutive terms. Responsible for organizing information for a newsletter to be distributed at least four times per year. The newsletter can be printed and distributed at meetings or emailed to the members.
ARTICLE VI - MEETINGS
SECTION 1. - REGULAR MEETINGS
A minimum of 6 meetings shall be held each year. A minimum of 12 days notice shall be given to the members of the meeting date. The Elected Officers shall hold an officers meeting prior to the regular meeting. These meetings can be held in the form of a conference call.
SECTION 2. - SPECIAL MEETINGS
Special meetings can be called by the Elected Officers. The purpose of the meeting shall be stated. Each member shall be notified 7 days in advance.
ARTICLE VII - ELECTION OF OFFICERS
SECTION 1. - ELECTION OF OFFICERS
The election of officers will be held annually. Only active members will be eligible to be nominated. The procedure for the election of officers will be as follows;
a) DECEMBER MEETING - Election of officers will be held
b) JANUARY MEETING - Newly elected officers will begin holding meetings.
ARTICLE VIII. - URGENT BUSINESS
For urgent business, the Elected Officers will be empowered to render a decision on behalf of the group. Their decision will be reported to the group at the next regularly scheduled meeting. If the Elected Officers are required to meet and make a decision, they will be informed of the time and place of the meeting in advance. All decisions will be subject to the approval of the majority of the Elected Officers. All meetings will be scheduled by an Elected Officer and cancelled only by the same Elected Officer.
ARTICLE IX. - AMENDMENTS
By-laws may be revised when occasion demands. The proposed revision shall be in parliamentary form, discussed at regular meetings, proposed for action the following month, and accepted by a two-thirds majority of the members.
